1. Agreement to Terms
By accessing or using ShredRFP ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.
2. Description of Service
ShredRFP is an AI-powered tool that extracts requirements from RFP (Request for Proposal) documents and generates compliance matrices. The Service:
- Accepts PDF documents for processing
- Uses artificial intelligence to identify and extract requirements
- Generates downloadable Excel compliance matrices
Beta Service Notice: ShredRFP is currently in beta. The Service is provided "as is" and may contain bugs, errors, or inaccuracies. Features may change without notice.
3. Beta Program
During the beta period:
- Access is limited and may be restricted at our discretion
- Users receive a limited number of processing credits
- The Service may be modified, suspended, or discontinued at any time
- We may collect feedback to improve the Service
4. User Responsibilities
By using the Service, you agree to:
- Provide accurate email information
- Only upload documents you have the right to process
- Not attempt to circumvent usage limits or access controls
- Not use the Service for any illegal purpose
- Not upload documents containing malware or malicious content
- Not attempt to reverse engineer or exploit the Service
5. Prohibited Content
This Service is designed for processing publicly available RFPs and solicitations (e.g., from SAM.gov, state/local procurement portals, public bid sites).
You agree NOT to upload documents containing:
- Controlled Unclassified Information (CUI) - Including documents marked CUI, FOUO, SBU, LES, or similar designations
- Classified Information - Any document with a classification marking (Confidential, Secret, Top Secret)
- Export-Controlled Data - ITAR, EAR, or other export-controlled technical data
- Documents with Distribution Limitations - Including "Distribution Statement B-F" markings
- Pre-Solicitation Sensitive Data - Draft RFPs or acquisition-sensitive information not yet public
- Personal Health Information (PHI) - HIPAA-protected data
- Payment Card Data - Credit card numbers or financial account details
Uploading prohibited content is a violation of these Terms and may result in immediate termination of your account. We reserve the right to report suspected violations to appropriate authorities.
6. Document Ownership & Confidentiality
You retain all ownership rights to documents you upload. By using the Service:
- You grant us a limited license to process your documents solely for providing the Service
- We will not share your documents with third parties except as necessary to provide the Service (e.g., AI processing)
- You are responsible for ensuring you have the right to upload and process the documents
- You acknowledge that documents may contain confidential information and use the Service at your own risk
- Documents are processed and deleted within 24 hours - we do not maintain a long-term database of your files
Important: This service is not FedRAMP authorized. Do not use it for processing Controlled Unclassified Information (CUI) or any documents requiring a FedRAMP-authorized environment.
7. AI Processing Disclaimer
Our Service uses artificial intelligence to extract requirements. You acknowledge that:
- AI extraction may not be 100% accurate
- Results should be reviewed by qualified personnel before use
- We do not guarantee that all requirements will be captured
- The Service is a tool to assist, not replace, human review
- You are solely responsible for verifying the accuracy of extracted requirements
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- WE ARE NOT LIABLE FOR ANY LOSS OF BUSINESS, CONTRACTS, OR OPPORTUNITIES ARISING FROM USE OF THE SERVICE
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE (IF ANY)
9. Indemnification
You agree to indemnify and hold harmless ShredRFP and its operators from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Documents you upload to the Service
10. Intellectual Property
The Service, including its design, functionality, and underlying technology, is owned by ShredRFP. You may not:
- Copy, modify, or distribute the Service
- Reverse engineer or attempt to extract source code
- Use our branding or trademarks without permission
11. Account Termination
We reserve the right to suspend or terminate your access to the Service at any time, for any reason, including:
- Violation of these Terms
- Suspected fraudulent or abusive behavior
- Extended periods of inactivity
- Discontinuation of the Service
12. Changes to Terms
We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will make reasonable efforts to notify users of significant changes.
13. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved in the appropriate courts of that jurisdiction.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
